Agreement to Terms
By creating a NexReply account or using any part of the platform, you agree to be bound by these Terms of Service. If you do not agree, do not use NexReply. These terms form a legally binding contract between you and WebDreamScape.
These Terms of Service ("Terms") apply to all users of NexReply, including business owners who register accounts ("Customers") and any team members they invite. Please read them carefully before using the platform.
If you are entering into these Terms on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.
The Service
NexReply is a Software-as-a-Service platform that enables businesses to deploy AI-powered customer support chatbots on Telegram. The service includes:
- An AI chatbot that responds to customer queries in multiple languages and dialects
- Product catalog management with integrations to Shopify, WooCommerce, custom APIs, and CSV imports
- Image-based product search allowing customers to send photos to find products
- A ticket management system for escalating complex queries to human agents
- A real-time dashboard for monitoring conversations and managing your business profile
We reserve the right to modify, suspend, or discontinue any feature of the service at any time with reasonable notice. We will not reduce core functionality without giving you the option to cancel and receive a prorated refund.
Accounts
Registration
To use NexReply, you must register for an account using a valid email address and create a secure password. You agree to provide accurate, current, and complete information and to keep it updated.
Account security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must:
- Use a strong, unique password for your NexReply account
- Notify us immediately at support@nexreply.app if you suspect unauthorised access
- Not share your account credentials with anyone outside your organisation
- Not use another person's account without their explicit permission
WebDreamScape is not liable for any loss or damage arising from your failure to keep your account secure.
One account per business
Each subscription covers one business. If you operate multiple separate businesses, each requires its own subscription. You may invite team members to collaborate under a single account.
Acceptable Use
You agree to use NexReply only for lawful purposes and in a way that does not infringe the rights of others. The following are strictly prohibited:
Prohibited activities
- Using NexReply to send spam, unsolicited messages, or bulk promotional content to people who have not opted in
- Impersonating another person, business, or organisation through your chatbot
- Using the platform to engage in fraud, phishing, or any deceptive practice
- Attempting to reverse engineer, decompile, or extract the source code of NexReply
- Using automated scripts to access the platform in ways that damage performance for other users
- Uploading malware, viruses, or any malicious code through product images or CSV files
- Using NexReply to facilitate illegal activity of any kind
- Reselling or sublicensing access to the platform without our written permission
- Circumventing message limits or other plan restrictions through technical means
Content standards
Your chatbot must not be configured to produce, promote, or distribute content that is hateful, discriminatory, sexually explicit, or that promotes violence or illegal activity. We may suspend accounts without notice if this standard is violated.
Violation of this Acceptable Use policy may result in immediate suspension or termination of your account without refund, and may be reported to relevant authorities where required by law.
Subscriptions & Billing
Plans
NexReply is offered on the following monthly subscription plans:
Billing cycle
Subscriptions are billed monthly on the date you first subscribed. Payments are processed automatically by Paddle, our payment provider. You authorise us to charge your payment method on a recurring basis until you cancel.
Price changes
We may change subscription prices with at least 30 days' written notice by email. Price changes take effect at the start of your next billing cycle following the notice period. If you do not agree to a price change, you may cancel before the new price takes effect.
Failed payments
If a payment fails, we will attempt to collect payment again within 3 and 7 days. If payment remains unsuccessful after 14 days, your account will be suspended. Your data is retained for 30 days after suspension, during which time you may reactivate by updating your payment method.
Message limits
Your plan includes a monthly message allowance. A "message" is counted each time your chatbot sends a reply to a customer. If you reach your limit before the end of the billing cycle, the chatbot will stop responding until the next cycle begins or you upgrade your plan. We will notify you by email when you reach 80% and 100% of your allowance.
Free Trial
All plans include a 14-day free trial. During the trial period:
- No payment is required to start. You will not be charged until the trial ends
- You have access to the full features of your chosen plan
- Message limits apply as per your chosen plan during the trial
- You may cancel at any time during the trial without charge
At the end of the 14-day trial, your subscription will automatically begin and your payment method will be charged unless you cancel before the trial expires. We will send a reminder email 3 days before the trial ends.
Each user and business is entitled to one free trial. Creating multiple accounts to extend trial access is a violation of these Terms and may result in all associated accounts being terminated.
Cancellation & Refunds
Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the platform until the end of the period you have paid for.
Refund policy
NexReply subscriptions are non-refundable once a billing cycle has begun, except in the following circumstances:
- You cancel within 48 hours of a renewal charge that you did not intend — contact us within this window for a full refund of that charge
- NexReply experiences extended downtime exceeding 72 consecutive hours in a billing month — prorated credit or refund will be applied
- We discontinue the service entirely — a prorated refund will be issued for unused days
To request a refund, email billing@nexreply.app with your account email and the reason for the request. We will respond within 5 business days.
Data after cancellation
After your subscription ends, your data is retained for 30 days. During this window you may reactivate your account and regain full access. After 30 days, your data is permanently deleted and cannot be recovered.
Your Content
You retain full ownership of all content you upload to NexReply — including your business information, product catalog, images, and any data you configure into the platform ("Your Content").
By uploading content to NexReply, you grant WebDreamScape a limited, non-exclusive, royalty-free licence to store, process, and display Your Content solely for the purpose of providing the service to you. We do not claim ownership over Your Content and we do not use it for any purpose beyond operating the platform.
Your responsibilities
- You are responsible for ensuring that Your Content does not infringe third-party intellectual property rights
- You are responsible for the accuracy of product information, prices, and stock levels you configure in NexReply
- You are responsible for all communications your chatbot has with your customers under your configuration
- You must ensure your use of customer data collected through the chatbot complies with applicable privacy laws in your jurisdiction
Intellectual Property
The NexReply platform, including its software, design, branding, and all underlying technology, is the exclusive property of WebDreamScape and is protected by copyright, trademark, and other applicable laws.
These Terms do not grant you any right to use WebDreamScape's or NexReply's trademarks, logos, or brand elements. You may not represent that you are affiliated with or endorsed by NexReply without our written permission.
If you provide feedback, suggestions, or ideas about improving NexReply, you grant us an irrevocable, royalty-free licence to use that feedback without any obligation to compensate you.
AI & Accuracy
NexReply uses artificial intelligence to generate responses. AI can make mistakes. You are responsible for reviewing your chatbot's responses and ensuring the information it provides to your customers is accurate.
We make no guarantee that the AI will always produce accurate, complete, or appropriate responses. You acknowledge and agree that:
- AI-generated responses may sometimes be incorrect, incomplete, or inconsistent
- NexReply should not be used as the sole source of truth for critical business decisions
- You are responsible for configuring your business profile and product catalog accurately, as the AI relies on this information to respond correctly
- You should regularly review conversations through the dashboard to monitor response quality
- WebDreamScape is not liable for any loss arising from an inaccurate AI response to your customers
We continuously work to improve AI accuracy. If you notice systematic errors in responses, please report them to support@nexreply.app so we can investigate.
Third-Party Services
NexReply integrates with third-party services including Telegram, Shopify, WooCommerce, Paddle, and the Anthropic Claude API. Your use of these integrations is subject to the respective terms and privacy policies of each third party.
- We are not responsible for the availability, performance, or policy changes of third-party services
- If Telegram changes its Bot API terms in a way that affects NexReply's operation, we will notify you as soon as practicable
- If you connect a Shopify or WooCommerce store, you are responsible for ensuring your store's use of customer data complies with those platforms' terms
- Payment processing is handled by Paddle. By subscribing, you also agree to Paddle's terms of service
Uptime & Support
Service availability
We target 99.5% monthly uptime for the NexReply platform. Scheduled maintenance will be announced at least 24 hours in advance where possible and carried out during low-traffic hours. Downtime caused by third-party services (including Telegram or Anthropic) does not count against our uptime commitment.
Support
Customer support is provided by email at support@nexreply.app. Response time targets by plan:
- Starter — responses within 3 business days
- Growth — responses within 1 business day
- Business — responses within 4 business hours, dedicated account support
Support is provided in English. We will do our best to assist in other languages where possible.
Limitation of Liability
To the maximum extent permitted by applicable law, WebDreamScape's total liability to you for any claim arising from or related to these Terms or your use of NexReply shall not exceed the total amount you paid to us in the 3 months immediately preceding the event giving rise to the claim.
WebDreamScape shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of revenue, profits, or business opportunities
- Loss of data or goodwill
- Damage to your reputation resulting from an AI response to your customers
- Costs of procuring substitute services
- Any damages arising from service interruptions or downtime
The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Termination
Termination by you
You may close your account at any time from account settings. Closing your account cancels your subscription effective at the end of the current billing period.
Termination by us
We may suspend or terminate your account immediately and without notice if:
- You materially breach these Terms and do not remedy the breach within 7 days of written notice
- You violate the Acceptable Use policy in a way that causes or risks harm to others
- Payment remains outstanding for more than 30 days after the due date
- We are required to do so by law or regulatory requirement
Where we terminate for reasons other than a breach by you, we will provide at least 30 days' notice and a prorated refund for unused subscription days.
Effect of termination
Upon termination, your right to use the platform ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, limitation of liability, and governing law — will remain in effect.
Changes to Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect, and we will update the "Last updated" date at the top of this page.
Your continued use of NexReply after the effective date of revised Terms constitutes your acceptance. If you do not agree to the updated Terms, you may cancel your subscription before the effective date and receive a prorated refund for unused days.
Governing Law
These Terms are governed by and construed in accordance with the laws of Sri Lanka, without regard to conflict of law principles. Any disputes arising from these Terms or your use of NexReply will be subject to the exclusive jurisdiction of the courts of Sri Lanka, unless applicable consumer protection laws in your country of residence provide otherwise.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
